OWOX Enterprise License (the “Enterprise License”)

1. This Software and its associated documentation (the “Software”) may be used in production, only if (i) you, and any entity you represent, have agreed to the OWOX Terms of Service available at https://www.owox.com/policies/terms-of-service (as amended from time to time) or have entered into another written agreement with OWOX governing the use of the Software, and (ii) hold a valid Subscription corresponding to your scope of use.

2. Subject to the foregoing sentence, you are free to modify this Software, except for any modifications, code, or functionality intended to bypass, remove, disable, or otherwise circumvent Subscription requirements, usage limitations, or any paid-feature restriction. You agree that OWOX and/or its licensors (as applicable) retain all right, title and interest in and to all such modifications and/or patches, including all associated intellectual property rights. Such modifications and/or patches may only be used, copied, modified, displayed, or otherwise exploited with a valid Subscription corresponding to your usage.

3. You are not granted any other rights beyond what is expressly stated herein. Subject to the foregoing, it is forbidden to copy, merge, publish, distribute, sublicense, and/or sell the Software.

4. This Software is provided “as is”, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and noninfringement. In no event shall the authors or copyright holders be liable for any claim, damages or other liability, whether in an action of contract, tort or otherwise, arising from, out of or in connection with the Software or the use or other dealings in the software.

5. Except as expressly permitted in Sections 1–4 above, you shall not, and shall not permit any third party to:
a) Unauthorized Use:
Use the Software for any purpose other than your own internal business operations. This includes, without limitation, sublicensing, distributing, selling, reselling, renting, leasing, lending, or otherwise making the Software available to any third party, or using it in a manner that enables any unlicensed person to access or benefit from the Software.
b) Compliance with License and Law:
Use the Software in any manner inconsistent with this Enterprise License or in violation of any applicable laws or regulations, including but not limited to privacy laws, intellectual property laws, and consumer, child-protection, obscenity, or defamation laws.
c) Prohibited Conduct:
Use the Software in any way that is harmful, fraudulent, deceptive, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, or otherwise unlawful.
d) Malicious Code:
Use the Software in connection with any virus, trojan horse, worm, time bomb, malware, unsolicited bulk or “spam” message, or any other harmful code or program, including without limitation password-guessing tools, decoders, password harvesters, keystroke loggers, cracking tools, packet sniffers, or encryption-circumvention tools.

6. OWOX retains all right, title, and interest, including all intellectual property rights, in and to the Software and all copies, components, modifications, and derivative works thereof. All suggestions, ideas, enhancement requests, feedback, code contributions, or other recommendations that you provide relating to the Software (“Feedback”) are and shall remain the sole and exclusive property of OWOX. You hereby irrevocably assign, and agree to assign, to OWOX all right, title, and interest in and to any such Feedback, including all associated intellectual property rights, without additional consideration.

This Enterprise License grants you only the limited rights expressly set forth herein. It is not a sale, and no ownership rights or other intellectual property rights in or to the Software are transferred or assigned to you.

7. For all third-party components incorporated into the OWOX Software, those components are licensed under the original license provided by the owner of the applicable component.
